Qrrato Distributor & Master Distributor Terms and Conditions
These Terms and Conditions ("Agreement") govern the relationship between Qrrato ("Company", "We", "Our", or "Us") and the Master Distributor or Distributor ("Distributor", "You", or "Your") who intends to buy and distribute Qrrato's QR Code Standee ("Product") that provides business owners with a dashboard to track ratings, reviews, and other business operations. By clicking "I Agree" or continuing to use our services, you acknowledge and agree to these terms.
1. Overview of the Service
Qrrato provides a QR Code Standee integrated with a business management dashboard for business owners. The dashboard offers the following key features:
- Viewing and managing customer ratings and reviews.
- Redirecting customers to Google for further reviews.
- Managing and tracking other business operations.
The Master Distributor and Distributor's role is to purchase the QR Code Standees and stickers in advance from Qrrato and distribute them to other Distributors. The Master Distributor is prohibited from selling directly to business owners but may supply Distributors with the products. If they wish, the Master Distributor can also become a Distributor.
2. Master Distributor and Distributor Responsibilities
- Purchase in Advance: The Master Distributor will purchase all QR Code Standees and stickers in advance from Qrrato. The Master Distributor is responsible for supplying the Distributors with the Product.
- Exclusive Sales to Distributors: The Master Distributor is prohibited from selling directly to business owners. The Master Distributor can supply Distributors, who in turn can sell to business owners.
- Distributor Rights: A Master Distributor can choose to become a Distributor by purchasing the standees directly from Qrrato or from a Master Distributor.
- Sales and Distribution: Actively sell and distribute the Qrrato QR Code Standee to business owners through your Distributors and ensure they understand the features and functionalities of the product.
- Customer Support: Provide assistance, training, and support to your Distributors and ensure they support the business owners using the Qrrato dashboard.
- Data Access: You may have access to business data (such as ratings and reviews) related to business owners in your distribution network. All data must be kept confidential and secure.
3. Business Owner Rights
- Dashboard Access: Business owners will have access to a dashboard to manage ratings, reviews, and other business operations.
- Review Redirection: The QR Code Standee will allow users to leave reviews and may redirect them to Google Reviews for further feedback.
4. Revenue Model and Payment Terms
- Product Purchase: All QR Code Standees and stickers must be purchased in advance by the Master Distributor directly from Qrrato.
- Distribution Fees: The Master Distributor is responsible for distributing the purchased standees to Distributors and may charge a reasonable handling fee.
- Commission for Distributors: The Distributor will earn commissions based on sales made to business owners. The Master Distributor will set pricing for the Distributors, but all standees and stickers must be purchased in advance from Qrrato.
5. Access to Data
- Business Data: You may have access to business-related data, including ratings and reviews from business owners within your network. All data must be kept confidential and used only for the purpose of managing your distribution operations.
- Data Privacy: Both parties must comply with applicable data privacy laws and regulations, ensuring proper handling of sensitive information.
6. License
- License to Sell: Qrrato grants the Master Distributor and Distributor a non-exclusive, non-transferable license to sell and distribute the Qrrato QR Code Standee to business owners within their network.
- Intellectual Property: All intellectual property rights related to the QR Code Standee, dashboard software, branding, and related materials are the sole property of Qrrato. The Master Distributor and Distributor are not allowed to use, modify, or reproduce any such intellectual property except as necessary for fulfilling the obligations of this Agreement.
7. Confidentiality
The Master Distributor and Distributor agree to keep all proprietary and business-related information, including pricing details, customer data, and business strategies, confidential and will not disclose such information to third parties without prior written consent from Qrrato.
8. Duration and Termination
- Term: This Agreement will commence upon acceptance and will remain in effect until terminated by either party.
- Termination for Breach: Either party may terminate this Agreement with written notice if the other party commits a material breach of these terms.
- Termination for Convenience: Either party may terminate this Agreement for any reason with 30 days’ notice.
9. Liability and Indemnification
- Limitation of Liability: Qrrato is not liable for any indirect, incidental, or consequential damages arising from the sale or use of the Product. This includes loss of data, revenue, or business opportunities.
- Indemnification: The Master Distributor and Distributor agree to indemnify, defend, and hold Qrrato harmless from any claims or damages arising from the Master Distributor's or Distributor's actions related to this Agreement.
10. Force Majeure
Neither party will be held liable for failure to perform obligations if such failure is due to causes beyond their reasonable control, such as natural disasters, wars, or government actions.
11. Amendments
Qrrato reserves the right to modify or amend these Terms and Conditions at any time. Any changes will be posted on the website www.qrrato.com. Continued use of the services after such amendments will constitute acceptance of the updated Terms.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [State/Country], and any disputes will be resolved in the competent courts of [Location].
13. Miscellaneous
- Entire Agreement: These Terms and Conditions represent the entire understanding between the parties and supersede any prior agreements.
- Severability: If any part of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
